WHAT WE DO

Matters of Economic Law have become increasingly present in the daily routine of companies and executives due to the strict enforcement of the Brazilian Antitrust Agency (CADE), the Public Prosecution Offices, Parliamentary Investigation Committees, Consumer Protection Authorities and other entities in the federal, state and municipal spheres. We advise clients in various fields of the economy (digital markets, technology, financial and payments, oil and gas, healthcare, food and beverage, pharmaceuticals, textiles and footwear, agribusiness, auto parts, among others) aiding them to:

fully understand and comply with the laws (compliance);

negotiate and clear mergers and acquisitions, commercial agreements, and strategic partnerships;

position themselves more competitively in the market;

expand their businesses and receive investments;

protect their businesses from unfair and predatory competition;

protect themselves from restrictive behavior adopted either by private agents or the Government;

handle governmental investigations, either through consensual means (settlements) or litigation.

ANTI-BRIBERY LAW

advising and drafting reports and legal opinions;

providing services as an auditing board member, monitoring body or ombudsman; ombudsman;

representing our clients in investigations conducted by Internal Affair’s Offices, the Public Prosecution Offices, Parliamentary Investigation Committees and other enforcement authorities in the federal, state and municipal spheres;

negotiating settlements;

providing advice regarding anticorruption-related lawsuits.

COMPETITION/ANTITRUST LAW

general counseling, deal planning, drafting reports and legal opinions regarding transactions, agreements and market practices;

pre-merger notification of transactions (mergers and acquisitions, associative agreements, joint ventures); joint venture) para aprovação do CADE;

monitoring and opposing deals adverse to our clients’ interests;

representing both complainants and defendants in government investigations (cartel-related matters, exchange of sensitive information, refusals to deal, resale price maintenance, discriminatory behavior, tie-in and bundling arrangements, among others);

settlement and remedy negotiations, including leniency agreements;

conducting internal investigations and antitrust audits;

advising clients on competition-related lawsuits.

COMPLIANCE

designing, implementing and revising Compliance Programs regarding antitrust, anticorruption, consumer law and trade remedies;

drafting guidelines and booklets;

CONSUMER LAW

general counseling, designing of business policies and guidelines, drafting reports and legal opinions;

structuring and conducting recall procedures; recall de produtos;

representing our clients in investigations conducted by the Consumer Protection Authorities, such as SENACON and PROCONs, the Public Prosecution Offices, Parliamentary Investigation Committees and other enforcement authorities in the federal, state and municipal spheres;

settlement negotiations;

advising clients on lawsuits regarding consumer matters.

COMMERCIAL DEFENSE

advising and drafting reports and legal opinions;

submitting claims related to foreign trade tariffs, preferences and exemptions (e.g., ex-tariffs);

monitoring and opposing third-party claims;

representing and advising on trade remedies investigations, such as anti-dumping, anti-subsidy, safeguards and anti-circumvention; antidumping, subsídios, salvaguardas e antielisão;

representing and advising on matters related to the Technical Group for Public Interest (GTIP) and the Foreign Trade Chamber (CAMEX);

providing legal assistance in trade remedies-related lawsuits.

DATA PRIVACY

drafting data privacy policies;

mapping risks and red flags and adapting internal processes to ensure adherence to data protection regulations;

drafting reports, advice and legal opinions on related issues;

advising clients before the Brazilian Data Protection Authority (ANPD).
